TERMS OF SERVICE FOR USE OF PHONE SYSTEM BY CALLERS

(Effective as of November 1, 2008)

Welcome to the Ring Plus Phone System ("Phone System") for free calls supported by advertisements. This Phone System is maintained as a service to our customers--both callers and advertisers.

Agreement.

This Agreement ("Agreement") specifies the terms and conditions for access to and use of the Phone System by callers, and describes the terms and conditions applicable to your access of and use of the Phone System. By subscribing to the Phone System, you agree to comply with and be bound by the following Terms of Service. Please review these terms and conditions carefully. Your use of the Phone System is also governed by our Terms and Conditions of Use of Site, Privacy Policy, and Community Rules. If you do not agree to any of these terms and conditions, you must immediately cease all use of the Phone System as well as all other Ring Plus products and services including the Ring Plus website at www.ringplus.net ("Site").

1. Modification.

Ring Plus ("us," "we," or "our") may modify the functionality and contents of the Phone System, the Site, and the terms of this Agreement at any time, with or without notice. Any such modifications shall be effective immediately. Your use of the Phone System shall constitute and be deemed your unconditional acceptance of this Agreement. Accordingly, you should review these terms each time you use the Phone System. We have posted the Effective Date, above, for your reference. Your continued use of the Phone System after any posting of any modifications will constitute your acceptance of such modifications.

2. Use of System.

If you subscribe to and/or use the Ring Plus Phone System to make free calls, you are bound by the terms of this Agreement. By using the Phone System, you agree that you are responsible for your actions and for protecting the confidentiality of your account, profile, user identification, and password, if any, and for restricting access to your information, and that you will take full responsibility for all activities that occur on your account. We reserve the right to refuse service, terminate accounts, and/or remove or edit content in our sole discretion.

3. Emergency Calls.

Ring Plus' Phone System DOES NOT support any emergency calls of any kind. By using the Phone Service, you agree that you are responsible to obtain and maintain your own primary phone service which can provide you with emergency call services. In addition, you are solely responsible for informing any person who you allow to use your Ring Plus subscription account to place a call over the Phone System that it does not support any emergency calls of any kind.

4. Term.

This Agreement shall be in effect from the date you subscribe to Ring Plus? Phone System until the day you or Ring Plus terminates your use of the Phone System.

5. Termination.

Ring Plus may at any time, with or without notice, and for any reason, terminate this Agreement, your ability to use the Phone System or your account, and to block your future access to, or use of, the Phone System.

6. No Guarantee of Phone System Reliability.

You understand and agree that Ring Plus cannot and does not guarantee the reliability or quality of the Phone System or the calls made using it. You agree that we must periodically maintain our Phone System and that such action may cause disruption to your ability to make calls. You agree that Ring Plus has no control over any force majeure event including, without limitation, power outages. YOU AGREE THAT Ring Plus SHALL NOT HAVE ANY LIABILITY TO YOU WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER FORM OF LIABILITY FOR FAILING TO PROVIDE FREE CALLS UNDER THIS AGREEMENT TO THE EXTENT THAT SUCH FAILURE IS AS A RESULT OF A FORCE MAJEURE EVENT.

7. Advertisements.

You understand and agree that Ring Plus is not responsible for the content, claims, prices, or any other representations or misrepresentations made by any advertiser playing its advertisement(s) to callers in the Phone System. You agree that Ring Plus is not responsible for the content, claims, prices, or any other representations or misrepresentations made by any advertiser in an email, text message, or any other form of communication by which you elect to receive addition information from them.

8. Phone Calls.

You agree that we are not responsible for the contents of any calls made using the Phone System.

9. Call Duration.

You understand and agree that Ring Plus may terminate any phone call at any time at its sole discretion and without any liability to you. In addition, you understand and agree that Ring Plus may, at any time and at its sole discretion without any liability to you, change the maximum amount of time that any one call can last.

10. Phone Numbers.

You agree that we can change any phone number we provide for your use at any time for any reason without notice or any kind or any liability to you.

11. Support.

If you need support in your use of the Phone System, please send an email.

12. RingPlus.net.

If you visit and use Ring Plus' website at www.ringplus.net, you will also be bound by our Terms and Conditions of Use of Site.

13. Advertisers.

If you use Ring Plus? Advertisement Platform to purchase, place, and/or play advertisement to our users making free calls, you will also be bound by our Terms and Conditions of Use of Advertising Platform.

14. Privacy.

Your use of the Phone System is also governed by our Privacy Policy. Ring Plus suggests that you read our Privacy Policy before deciding whether to use this Phone System, Ring Plus? Site, and any and all other Ring Plus products or services.

15. License.

Your use of this Phone System is at our discretion. We hereby grant you a limited, revocable, non-exclusive, worldwide, fully-paid, royalty-free license to use this Site solely for your own personal use to make free calls and not for commercial use or any other use. You agree not to copy materials on the Phone System, reverse engineer or break into the Phone System, or use materials, products, or services in violation of any law. We consent to you making calls over our Phone System for your personal and non-commercial use only, unless otherwise consented to by us in writing. This limited consent shall terminate automatically if you breach any of these Terms of Service for Use of Phone System by Callers.

16. Customer Submissions.

We reserve the right, and you authorize us, to use and assign all information regarding your use of the Phone System and all information provided by you in any manner consistent with our Privacy Policy. All communications, comments, feedback, information, suggestions, and materials submitted to us by you ("Submissions") are not confidential and shall become and remain our property. We reserve the right to use any such Submissions. By making Submissions to us, you hereby grant Ring Plus and its affiliates a non-exclusive, fully paid, royalty-free, perpetual, worldwide, irrevocable, and sub-licensable right to use such Submissions without limitation or compensation. You make the following representations regarding your Submissions: they shall be lawful and fit for publication; you have made reasonable efforts to remove viruses or other destructive features before submission; you own the Submissions or have unlimited rights to provide them to us; you agree not to take action against us regarding any such Submissions; and you agree to indemnify us from third-party claims regarding any such Submissions. We shall have no obligation to respond to Submissions..

17. Intellectual Property.

All content included in the Phone System is and shall continue to be the property of Ring Plus, our licensors, or our advertisers, and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use, or publication by you of any such content is prohibited, except as expressly permitted in this Agreement or a separate writing signed by us, our licensors, or our advertisers as appropriate. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of the Phone System. We consent to you making calls over our Phone System for your personal and non-commercial use only, unless otherwise consented to by us in writing. This limited consent shall terminate automatically if you breach any of these Terms of Service for Use of Phone System by Callers. Upon such termination, you shall immediately destroy all content in your possession.

(a) Copyrights. All copyrighted or copyrightable material on or via the Phone System, including without limitation, the software, audio, design, text, product information, graphics, images, pictures, and other files, and the selection, arrangement, format, and layout thereof are protected in the U.S. and in other countries by a variety of laws including but not limited to copyright laws and treaty provisions. Our placement of people, products, services, or places in the Phone System are either our property, or belongs to our licensors? or our advertiser's.

(b) Trademarks. Ring Plus, www.ringplus.net, and others are the service marks, trademarks, or registered trademarks of Ring Plus or its licensors. Other product and company names mentioned on the Phone System may be trademarks of their respective owners.

(c) Patents. One or more patents apply to this Phone System, and shall remain the property of Ring Plus or our licensor(s), including, without limitation, US Patent Nos. 7,006,608 and 7,227,929.

(d) Infringement. If you believe your work or property has been copied in a way that constitutes infringement, please provide a notice containing all of the following information to our Infringement Agent:

(e) An electronic or physical signature of the person authorized to act on behalf of the owner of the property of interest;

(f) A description of the work or property that you claim has been infringed;

(g) A description of where the work or property that you claim is infringing is located on the Phone System;

(h) Your address, telephone number, and e-mail address;

(i) A statement by you that you have a good faith belief that the disputed use is not authorized by the work or property owner, its agent, or the law; and

(j) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the work or property owner or authorized to act on the work or property owner's behalf.

(k) Our Infringement Agent for Notice of claims of infringement on the Phone System is Eric De Dominic, who can be reached at eric@ringplus.net.

18. Compliance with Laws.

You agree to comply with all applicable laws regarding your use of the Phone System. You further agree that information provided by you is truthful and accurate to the best of your knowledge.

19. Children.

Ring Plus does not offer to sell products or serivces to children under the age of 18 (eighteen). By using the Phone System, you are representing to us that you are 18 (eighteen) years old or older. We will not be responsible or liable for any damages that may result from misrepresentation of age by a user of our Site or your account.

20. Indemnification.

You agree to indemnify, defend, and hold Ring Plus and its partners, employees, and affiliates harmless from any liability, loss, claim, and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Phone System.

21. Disclaimer OF WARRANTIES.

THE INFORMATION ON the Phone System IS PROVIDED ON AN ''AS IS,'' ''AS AVAILABLE'' BASIS. YOU AGREE THAT USE OF the Phone System IS AT YOUR SOLE RISK. RING PLUS DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF TITLE, EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RING PLUS IS NOT RESPONSIBLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS RELATING TO advertisements, PRICING, TEXT, OR PHOTOGRAPHY. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF the Phone System SHALL BE TO DISCONTINUE USING the Phone System.

22. Limitation of Liability.

UNDER NO CIRCUMSTANCES WILL RING PLUS OR ITS OFFICERS, DIRECTORS, SHAREHOLDERS OR EMPLOYEES, IF ANY, BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR ANY OTHER DAMAGES OF ANY KIND UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO the Phone System, YOUR USE OF the Phone System, OR THE CONTENT OF the Phone System, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH the Phone System AND/OR CONTENT IS TO CEASE ALL OF YOUR Phone System USE.

23. Exceptions to Warranties Disclaimers and Liability Limitations.

You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.

24. Governing Law; Venue.

You agree that the laws of the state of California, without regard to conflicts of laws provisions, will govern this Agreement and any dispute, action, suit, or proceeding that may arise between you and Ring Plus or its affiliates over this Agreement or your use of the Phone System. You agree that venue for any legal action arising out of this Agreement or your use of the Phone System shall reside exclusively in Los Angeles County or the Central District for the State of California. Ring Plus controls the Phone System from within the State of California. We do not claim, assert, or imply that the materials and policies of the Phone System are appropriate for use, or comply with any local laws, outside the U.S. If you use the Phone System outside the U.S., you are responsible for complying with all such local laws.

25. Severability.

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of that provision and this Agreement will otherwise remain in full force and effect.

26. Entire Agreement.

This Agreement constitutes the entire understanding and agreement between you and Ring Plus with respect to your use of the Phone System, and supersedes all prior and contemporaneous agreements, express or implied, written or oral, between you and us regarding the Phone System.

27. Modification; Waiver.

Any term or provision of this Agreement may be amended or waived only by a writing signed by Ring Plus. The waiver by us of any breach of this Agreement shall not be deemed to constitute a waiver of any otherch.
